U.S./Canada Cross-Border Practice

Due to our proximity to Canada, Brown & Kelly has a long history of representing Canadian businesses and individuals in legal matters.  We assist Canadian businesses entering the U.S. market by setting up U.S. business entities and counseling on issues associated with operating in the U.S.

We assist Canadian companies with corporate and commercial transactions, and compliance with environmental, tax and employment laws and protection of intellectual property.  We assist our Canadian clients with the purchase of real estate, securing business financing and procuring business and professional insurance. We draft business agreements, including purchase and sale agreements as well as employment, trade secret and non-competition agreements. Brown & Kelly also assists cross-border clients with tax and estate planning as well as real estate investments and purchases.

Brown & Kelly’s strong ties to the Western New York community, and familiarity with the local courts, procedures, judges and attorneys, help our Canadian clients navigate the complexities of cross-border litigation in the state and federal courts. We develop cross-border litigation strategies, taking into consideration jurisdiction, venue and choice of law.  We coordinate parallel litigation in U.S. and Canadian courts, prepare applications to stay U.S. proceedings, assist in the collection of evidence for use in Canadian proceedings and enforce foreign judgments.  We also provide Canadian attorneys with local counsel support.

Brown & Kelly acts as coverage counsel to Canadian insurance companies and represents private companies and individuals in coverage disputes arising from cross-border transactions and litigation.
